Ordolio provides a digital environment for the interaction between member and association. The member of the association, or as the case may be the parents of that member, can arrange his or her registration, register for activities, share necessary information and more via Ordorio. Associations can digitize and optimize their membership administration via the Ordolio platform. The participating associations can register members, administration, finances, events, excursions, ... on our platform.
These Terms and Conditions for the Participating Association (hereinafter: the "Terms and Conditions") apply to the use of the platform "Ordolio", available via https://app.ordolio.com (hereinafter: "Ordolio Platform"), and all services provided by OVKN BV (hereinafter: "Ordolio", "we" or "us").
You, as the representative of the Participating Association, (hereinafter: "Participating Association") who registers on the Ordolio platform and to use the services mentioned below, agree to these Terms. If the Participating Association is not a legal entity or if the registration is carried out by a person who does not have the authority to represent them (by law or under the articles of association), this person will agree to these Terms and Conditions in his own name and on his own behalf. This also applies to the person or persons in whose name the account will be added later, after registration.
Ordolio offers the User, being the member affiliated to one (or more) association(s) affiliated to the Ordolio platform (hereinafter: "Participating Association"), the following Services: a platform to transmit certain data to the Participating Association, to register in a simple way with the Participating Association, to subscribe to activities of the Participating Association or to subscribe to activities that occur in the operation of the Participating Association and the smooth running of all kinds of administration in a clear and orderly manner between the User and the Participating Association.
The Participating Association will (be able to) agree to these Terms when registering on the Ordolio platform. A registration presupposes knowledge and agreement with these Terms and Conditions, as the registration cannot in principle be completed without knowledge and agreement with these Terms and Conditions. These Terms will be readable and downloadable (on a durable medium) at the time that they can and will be agreed to. The Participating Association should keep these Terms and Conditions.
Once agreed to these Terms, the Participating Association will have to comply with these Terms. For example, when using the Services, the Participating Association will have to take into account (among other things) what is included in these Terms and Conditions. If the association cannot be held, e.g. because it is not a legal entity, the person who carries out the registration and/or in whose name the account is located, will (may) be held and can be held liable in the event of a violation of these Terms and Conditions.
These Terms and Conditions have only been drawn up in Dutch, which is the contract language between the Participating Association and Ordolio.
Ordolio will not be part of the contract that the Participating Association concludes with the Users. Thus, Ordolio remains completely aloof and impartial and only provides a medium between the Participating Association on the one hand and the User on the other, without having to deal with the aforementioned parties (i.e. the Participating Association and the User) to enter into a joint agreement. For example, the membership agreement will only be concluded between the User (the member) and the Participating Association. Ordolio has no control over this membership agreement, is not part of it and therefore cannot make any guarantees about it, nor can Ordolio be held contractually liable for it. The Participating Association will not affect the provisions of these Terms and Conditions or the provisions of the Terms and Conditions in the Membership Agreement.
The headings used in these Terms are for convenience only and have no legal function or value whatsoever.
These Terms may change after the Participating Association has agreed to these Terms. The Participating Association will be informed of this by e-mail. At the end of the period communicated in the notification, the new conditions will apply. If the Participating Association does not agree to the new terms and conditions, the Participating Association will have to close its account and the Participating Association will (consequently) no longer (be able to) use our Services and the Ordolio platform.
Ordolio reserves the right to modify or modify our Services, or any part thereof, or modify or modify the Ordolio Platform, or any portion thereof, at any time.
Without prejudice to the above provisions in connection with the modification of the Terms, if a new agreement is entered into after the conclusion of these conditions, such new agreement shall supplement these Terms. If the most recently concluded agreement cancels (or replaces), contradicts or contains conflicting provisions, the cancellation or the conflicting provisions of this (last) agreement will take precedence.
Any modification to, addition to or waiver of these Terms and Conditions will never be made orally. This also applies to all other agreements between the Participating Association and Ordolio.
If there is any ambiguity about anything included in these Terms and Conditions, the Participating Association may contact Ordolio using the contact details provided above, in order to clarify the ambiguities.
The Participating Association will be represented by a person in whose name the account will be registered. This person must be at least 18 years old.
The Participating Association undertakes to ensure that the data entered is up to date. This means that even after registration, the account details must be kept up-to-date. For example, the Participating Association can change its entered data in the space made available for this purpose on the Ordolio platform. The account data in question here include contact details and identity data (non-exhaustive list).
The Participating Association undertakes that the data entered by it is correct and true. For example, the Participating Association will not be allowed to use false information or a false name.
The Participating Association undertakes to keep the password it has chosen confidential.
If the Member Association does not comply with the terms and conditions set out in these Terms and Conditions, for example the terms and conditions set out in relation to the account or the rules of conduct, or with the law, Ordolio reserves the right to suspend, terminate or limit the Member Association's account. Ordolio may take these measures if Ordolio believes that the Participating Association has violated (or violates) the conditions set out in these Terms and Conditions or violates the law.
Ordolio works on the basis of a fairy model. This means that the use by the Participating Association of our Services and the Ordolio platform is in principle free of charge. No registration fee will have to be paid to use the Ordolio platform. Payment will be made by means of a fee per transaction that is made on the Ordolio platform.

In addition, there are separate fees associated with using the Stripe payment processing services. The Participating Association is responsible for all Stripe fees, including payment processing fees and payout fees. Stripe payment fees can be accessed at https://stripe.com/en-be/pricing. Ordolio will use its best efforts to ensure that its Services and the Ordolio Platform operate securely and properly. However, access to our Services and the Ordolio platform may be (temporarily) interrupted. Ordolio shall not be liable for such interruption or restriction of access, except in the case of gross or intentional misconduct.
Nor shall Ordolio be liable for any bugs, errors, malfunctions, or inaccuracies in our Services or on the Ordolio platform, except in the case of gross or intentional error.
Nor will Ordolio be liable if the use of our services or the Ordolio platform causes damage to the Participating Association's hardware equipment, except in the case of gross or intentional error.
Nor shall Ordolio be liable for the suspension, termination or limitation of the account (of the Participating Association) as a result of a violation of these Terms or the law.
In addition to the cases listed above, more generally, Ordolio will never be liable for its shortcomings, errors or omissions, except for its intentional or gross negligence.
Ordolio never checks the content posted by the Users or Participating Associations on the Ordolio platform, neither before posting nor after posting the content. Ordolio will not be liable for content or actions taken by Users or Participating Associations on the Ordolio platform, unless Ordolio has been informed in a timely, adequate and accurate manner with regard to (the existence of) content or actions and the illegality thereof, and Ordolio has not subsequently promptly proceeded to any action of removal or removal of illegal content or actions. This is a confirmation of the rule provided for in Article XII.19 of the ELC. It is clear that this only applies to illegal content or actions and that Ordolio will never be liable for content or actions of Users or Participating Associations that do not violate the law.
Without prejudice to the foregoing, Ordolio will never be held to a (damage) amount that exceeds the amount of € 25,000.00. In other words, the maximum compensation to which Ordolio may be liable is limited to € 25,000.00.
Without prejudice to the foregoing, Ordolio can never be held liable for indirect damage, such as consequential damage or loss of profit (non-exhaustive list).
The claim for compensation on the part of the Participating Association expires after 12 months, calculated from the moment when the act or fact that caused the damage occurred.
The Member Association undertakes to indemnify all costs and losses that Ordolio has to pay and bear as a result of: the Member Association's violation of these Terms and Conditions, his or her unlawful use of our Services or the Ordolio platform or his or her violation of the law or the rights of third parties.
The Member Association grants Ordolio a non-exclusive, free of charge, worldwide, transferable and sublicensable license to publish, communicate, reproduce, translate, copy, modify, distribute, publish, process and/or reproduce the content, data and actions posted by the Member Association and the account holder in function of our Services or the Ordolio platform. All this via every existing (and used) medium and future medium, via the (web) application on PCs, smartphones and tablets, digitally and on paper. Ordolio can always perform the aforementioned actions without prior and further permission, notification and/or compensation from the Participating Association that posted the content or data or performed the action. However, all this without prejudice to mandatory legislation such as privacy legislation.
The aforementioned (given) license can be revoked by the Participating Association when the Participating Association terminates his or her account or removes the content, data or actions from the Ordolio platform.
Ordolio reserves all intellectual property rights to its Services and the Ordolio platform.
Ordolio is not obliged to provide a copy of the data and content posted by the Participating Association, unless the law requires it (in the case of the GDPR, see privacy policy). In addition, Ordolio does not provide a backup of the data and content posted by you, unless required to do so by law.
The Participating Association undertakes to comply with the rules listed below when posting content or entering data:
The Participating Association complies with the law. This includes compliance with privacy laws, laws relating to intellectual property rights and laws relating to defamation and defamation (non-exhaustive list);
The Participating Association does not use inflammatory or hateful language, incite violence, use violence, commit fraud or deceit or engage in any other criminal activity;
The Participating Association does not engage in conduct with the intent to cause physical, monetary, emotional or other harm to other Participating Associations, the Participating Association(s), Ordolio or any other (legal) person;
The Participating Association does not engage in bullying behaviour and does not engage in (sexual or other) exploitation;
The Participating Association will not post any pornographic material or material that is contrary to morality, or any link that refers to such material.
The Participating Association provides and uses personal, correct and accurate data, which must be kept up-to-date. This includes entering a correct (and real) name, a correct address, correct e-mail address and correct data sheets (non-exhaustive list);
The Participating Association does not post content in which (personal) data of third parties is processed, unless it has permission to do so or can invoke another justification;
The Participating Association does not distribute viruses, malware, spamware or other inappropriate or harmful information or files through our services or on the Ordolio platform;
The Participating Association does not post spam, this is the (repeated) posting of the same message or information, which (may) be experienced as disturbing and irritating by the other Participating Associations and/or Participating Association(s)
The Participating Association does not perform any actions or post content in the context of a commercial activity;
The Participating Association does not intentionally (over)load the system by means of, for example, a targeted DoS attack (Denial of Service);
The Participating Association does not use robots (or robot technology such as a crawler) for (the use of) our services or on the Ordolio platform;
The Member Association will not seek to discover, reverse engineer, decode, nor will the Member Association, in case of knowledge of the source code, process, use, modify, disclose, communicate the source code.
If the Participating Association discovers errors in the operation, if it is aware of the source code: in the source code,... the Participating Association will report this to Ordolio.
If a Participating Association, a User or a third party believes that content and/or data posted by these persons or an action by those persons with our Services or on the Ordolio platform is contrary to the law or to these Conditions, this can be reported to Ordolio.
This notice must contain an exact, accurate and correct reference to the content posted or the action taken through our services or on the Ordolio platform. However, the mere reference to the posted content or action is not sufficient, so the notification must also contain a substantiation or description of why the posted content or action is in violation of the law or these Terms.
Upon receipt of the notification, Ordolio will consider the notification. If Ordolio decides that the posted content or action is in violation of the law or these Terms and Conditions, Ordolio will proceed to block or remove the posted content or action and, if it concerns a criminal offense, inform the Public Prosecutor. If Ordolio decides that the posted content or action does not violate the law or these Terms and Conditions, no action will be taken in connection with the posted content or action and they will remain unaffected.
In the event of blocking or removing the content or action found to be violating, the Participating Association that performed the content or action will be notified. In addition to removing or blocking the posted content or action, Ordolio may, as mentioned above, terminate, limit or suspend the account of the Member Association that posted this content or performed the action.
With regard to the liabilities, reference can be made to what has already been stipulated above.
This procedure must be read in accordance with the regulation in Book XII of the Code of Economic Law, and more specifically in accordance with Article XII.19 of the Economic Code.
Ordorio, like the Participating Association, will be able to provide proof of its rights and obligations freely. This is therefore a departure from the non-mandatory provisions of Articles 1317 to 1369 of the Civil Code. This means, among other things, that Ordolio, as well as the Participating Association, will be able to use (all) electronic data carriers, including electronic communication and electronic documents, or if necessary a paper copy thereof, for (full) proof of these Terms and Conditions and the obligations between us and the User.
If a dispute arises between the Participating Association and Ordolio, the Participating Association can first contact Ordolio without obligation to find a solution. The Participating Association does this using the contact details included in these Terms and Conditions, preferably by e-mail.
The foregoing does not in any way prevent the (free) access to the courts of the Participating Association.
These Terms and Conditions, and the obligations between Ordolio and the Participating Association in general, are (exclusively) subject to Belgian law. Nullity and divisibility
Should it happen that a clause of these Terms and Conditions, or part of this clause, is null and void, or is deemed to have been written as unwritten, the Participating Association and Ordolio undertake to negotiate in good faith the replacement of the voided clause, or part thereof, with a clause that corresponds as closely as possible to the result intended by the voided clause.
If the Participating Association and Ordolio have not reached an agreement on a replacement clause within one week, the gap to which the annulment may give rise will be filled in accordance with ordinary law.
In any event, the nullity of a particular clause, or any part of this clause, shall never affect the validity of the remainder of these Terms nor affect the remainder of the clause which is valid and enforceable.
Ordolio may transfer its rights and obligations arising from its agreement with the Participating Association, which includes the aforementioned services and the Ordolio platform, to a third party without the prior consent of the Participating Association. However, this transfer may in no case create conditions that are less favourable to the Participating Association.
